3. Nature of the Services

Winding operates an online marketplace platform that connects:

  • Customers seeking to purchase watches and related goods,
  • Retailers offering watches and related goods for sale, and
  • Repair shops offering watch repair and related services.
  • Winding is not the manufacturer, seller, reseller, or repair provider of listed products or services unless expressly stated.
  • Winding facilitates transactions but does not take title to goods listed by third-party retailers or repair shops.

4. User Accounts

Users may be required to create an account to access certain features.

You agree to:

  • Provide accurate and complete information.
  • Maintain the confidentiality of your login credentials.
  • Notify us immediately of unauthorized account use.
  • You are responsible for all activity under your account.
  • Winding reserves the right to suspend or terminate accounts at its sole discretion.

5. Marketplace Transactions

A. Customer Transactions

When a customer purchases a product or service through the platform:

  • The transaction is between the customer and the retailer or repair shop.
  • Winding may process payments on behalf of third parties.
  • Shipping, fulfillment, warranties, and service performance are the responsibility of the retailer or repair shop unless otherwise stated.

B. Retailers and Repair Shops

Retailers and repair shops agree to:

  • Provide accurate listings and descriptions.
  • Fulfill orders promptly.
  • Comply with all applicable laws and regulations.
  • Maintain required licenses and tax registrations.

Winding reserves the right to remove listings or suspend access for violations.

6. Fees and Payments

  • Winding may charge fees to retailers and repair shops for use of the platform.
  • All fees, commissions, or service charges will be disclosed separately.
  • Winding reserves the right to modify fees upon notice.
  • Payments are processed through third-party providers. Winding is not responsible for payment processor errors or interruptions.

7. Prohibited Conduct

Users shall not:

  • Violate any applicable laws or regulations.
  • Post false, misleading, or fraudulent listings.
  • Interfere with platform functionality.
  • Attempt unauthorized access to systems.
  • Use the Services for unlawful purposes.
  • Circumvent platform fees.

Winding may investigate and take action, including account suspension or legal action.

8. Intellectual Property

  • All content, trademarks, logos, software, and materials provided by Winding are the exclusive property of Winding LLC or its licensors.
  • Users are granted a limited, non-exclusive, non-transferable license to access and use the Services for lawful purposes.
  • Users retain ownership of content they submit but grant Winding a worldwide, royalty-free license to display, reproduce, and distribute such content in connection with operating the Services.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

WINDING MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT

Winding does not guarantee:

  • The authenticity, quality, or legality of listed goods.
  • The performance of repair services.
  • Continuous or error-free operation of the platform.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Winding LLC shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost data.
  • In no event shall Winding's aggregate liability exceed the greater of:
    • One hundred dollars ($100), or
    • The total fees paid to Winding in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Winding LLC, its officers, members, employees, and agents from any claims, damages, liabilities, or expenses arising out of:

  • Your use of the Services,
  • Your violation of these Terms,
  • Your violation of applicable law,
  • Your transactions conducted through the platform.

12. Dispute Resolution

A. Governing Law

These Terms shall be governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

B. Venue

Any disputes shall be resolved exclusively in the state or federal courts located in Michigan.

Winding reserves the right to seek injunctive relief in any jurisdiction.

13. Termination

Winding may suspend or terminate access to the Services at any time, with or without notice, for any violation of these Terms or for business reasons.

Upon termination:

  • User access may be revoked.
  • Certain provisions (including liability limitations and indemnification) shall survive.

14. Modifications to Terms

Winding reserves the right to modify these Terms at any time. Updated Terms will be posted with a revised effective date.

Continued use of the Services constitutes acceptance of modified Terms.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Winding LLC regarding the Services.

If any provision is held invalid, the remaining provisions shall remain in full force and effect.
